Scholarship

Laura Lane-Steele,The Nonbinary Bogeyman, 73 Fla. L. Rev. F.31(2024).

This Response uses the lessons from Professor George’s article about LGBT movement expansion and non-expansion to analyze how LGBT rights groups respond when opponents invoke the nonbinary bogeyman as a sword against gender-conforming, binary transgender people and their rights.

Benjamin Means & Douglas K. Moll, Against Contractual Formalism in Shareholder Oppression Law, 57 U.C. Davis L. Rev. 1867 (2024).

This Article argues that contractual formalism repositions the chief criticism of the shareholder oppression doctrine — that a corporation’s shareholders could have negotiated adequate protection before investing — as the doctrine itself. By contrast, a pragmatic interpretation of reasonable expectations serves the equitable purpose of shareholder oppression law and empowers courts to achieve justice between the parties.
