THE BOARD OF VISITORS
PREAMBLE
The Palmetto College Board of Visitors serves as a vital link between Palmetto College and the South Carolina community. It provides counsel to the Chancellor and key leaders of Palmetto College, advocates on behalf of Palmetto College to external and internal parties, and works to increase Palmetto College’s presence in the university and in the state, as well as to generate financial resources and philanthropic support.
ARTICLE I NAME
The name of this organization shall be the Palmetto College Board of Visitors.
ARTICLE II MISSION STATEMENT
The mission of the Palmetto College Board of Visitors is to assist Palmetto College and the Chancellor as they strive “to provide innovation, leadership and coordination throughout the eight University of South Carolina campuses to facilitate the completion of bachelor degrees by students seeking alternative course and degree delivery.”
ARTICLE III GOALS AND OBJECTIVES
The goals and objectives of the Palmetto College Board of Visitors are:

To support the mission of the Palmetto College;

To be aware of and knowledgeable about Palmetto College programs and needs; and to communicate those to external audiences;

To promote and advocate for the well-being of the Palmetto College wherever possible;

To advise and make recommendations to the Palmetto College administration if appropriate;

To support the capital campaign of the Palmetto College and its development plans toward the goal of increasing resources for the Palmetto College; and,
-
To raise financial resources in support of these goals and objectives.
ARTICLE IV MEMBERSHIP
The Palmetto College Board of Visitors shall be composed of a demographically representative group of no more than thirty five (35) members. Members shall be selected from alumni of Palmetto College, state and local officials, community-at-large, and friends of Palmetto College who have demonstrated a consistent interest in the success of Palmetto College and the University of South Carolina. Recommendations for new Board of Visitors members will be made to the Chancellor by the Palmetto College deans. Members of the Palmetto College Board of Visitors shall serve three-year terms. The Chancellor and Chair may fill a vacant seat with a new Member who will begin a new three year term. Terms are renewable at the discretion of the Chancellor and Chair with a limit of 12 years. Emeriti status may be granted at the discretion of the Chancellor and Chair.
ARTICLE V OFFICERS
The Palmetto College Board of Visitors shall be led by the Chair who will preside at all meetings. The Chancellor shall appoint the Chair to a one year term, with the possibility of a one year extension. The Chancellor and the Chair shall have the authority to establish committees as necessary.
ARTICLE VI MEETINGS
The entire Palmetto College Board of Visitors shall meet two times a year (once in the spring and once in the fall) at a location identified by the Chancellor. At other times of the year, individual members may be asked to attend committee meetings, to meet individually with the Palmetto College administration, or to assist Palmetto College in areas such as development and alumni relations. Members of the Palmetto College Board of Visitors will be expected to attend at least fifty percent of scheduled and special meetings each year. A quorum for conducting business will be one half plus one of the current membership. The current edition of Robert’s Rules of Order shall serve as the guide by which business is conducted, unless otherwise provided for in the Bylaws. Minutes shall be provided and kept by a staff member of the Chancellor’s office.
ARTICLE VII OPERATIONS
The Palmetto College Board of Visitors is an advisory organization. The members have no legal or fiscal responsibility or authority. The advice of each person serving on the Palmetto College Board of Visitors is vitally important to Palmetto College and to the overall success of the Board. The administration is free to accept input from the Palmetto College Board of Visitors at its discretion.
ARTICLE VIII ADOPTION OF BYLAWS
The bylaws shall become effective when they are adopted by a two-thirds (2/3) vote of the Palmetto College Board of Visitors members present at a regular or called meeting.
ARTICLE IX AMENDMENTS TO BYLAWS
Amendments to the bylaws may be adopted by a two-thirds (2/3) vote of the Palmetto College Board of Visitors present at any regular or called meeting, provided that the text of the proposed amendment is delivered to the members in writing at least thirty (30) days in advance of the meeting.
